1. Acceptance of these terms
These Terms of Service ("Terms") govern your use of Apex One Parking Manager (the "Service"), operated by Apex One Technologies ("Apex One," "we," "us"). By using the Service - whether as a resident registering parking, or as a community manager or patrol guard - you agree to these Terms. If you do not agree, do not use the Service.
2. What the Service is
The Service is a software platform that homeowners associations, property managers, and similar communities ("Communities") use to manage resident parking: registering vehicles and parking days, verifying permits, recording parking violations, and keeping related records. Each Community sets its own parking rules, quotas, and enforcement practices. Apex One provides the software only and is not a party to any agreement between you and your Community.
3. Resident registrations
When you register a vehicle or parking days, you confirm that you are authorized to act for that vehicle and that the information you provide (license plate, vehicle details, dates) is accurate. Registering a parking day records your permission to park under your Community's rules for that day; it does not reserve or guarantee a physical parking space. Registrations are limited by the quotas your Community configures.
The Service identifies registrations by license plate. Do not register, view, or cancel parking for a vehicle you are not authorized to manage.
4. Enforcement, tickets, and towing
Parking rules, violation tickets, tow determinations, and any actual towing, immobilization, fines, or fees are decisions and actions of your Community and the vendors it hires (such as towing companies) - not of Apex One. The Service only records this information on the Community's behalf. To the fullest extent permitted by law, Apex One is not responsible or liable for any tow, storage or release fees, fines, vehicle damage, or other loss arising from your Community's enforcement of its parking rules. Disputes about a ticket or tow must be raised with your Community.
5. Staff accounts
Community managers and guards receive credentials to access administrative features. You are responsible for keeping your credentials confidential and for all activity under your account. Notify your Community administrator or Apex One promptly of any suspected unauthorized use.
6. Acceptable use
You agree not to:
- provide false or misleading information;
- register, modify, or cancel parking for vehicles you are not authorized to manage;
- interfere with, probe, or disrupt the Service or attempt to access data belonging to another person or Community;
- use the Service for any unlawful purpose.
We may suspend or terminate access for violations of these Terms.
7. Intellectual property
The Service, including its software, design, logos, and content, is owned by Apex One Technologies or its licensors and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service except as needed for ordinary use.
8. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the fullest extent permitted by law, Apex One Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed one hundred US dollars (US $100) or the amount you paid us for the Service in the twelve months before the claim, whichever is greater.
10. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in California.
11. Changes to these terms
We may update these Terms from time to time. The effective date above shows when they were last revised. Continued use of the Service after changes take effect means you accept the revised Terms.
